TERMS OF SERVICE
Please read these Terms of Service carefully before engaging with Precision Carbide Tools. By placing an order, submitting an inquiry, or using our services, you agree to be bound by the following terms and conditions.
Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "Buyer," or "Partner") and Precision Carbide Tools ("Company," "we," "us," or "our"), a certified manufacturer and supplier of precision carbide cutting tools and related products.
By submitting a purchase order, request for quotation (RFQ), product inquiry, or by otherwise engaging with our products and services--whether through our website, email correspondence, trade platforms, or direct sales channels--you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not proceed with any transaction or engagement.
Scope of Services
Precision Carbide Tools provides the following products and services to industrial buyers, distributors, and OEM partners worldwide:
- Premium Carbide Inserts
- End Mills
- Carbide Round Bars
- Drills
- Full Ceramic Inserts
- OEM / ODM Manufacturing
- Custom Geometry Design
- Drawing-Based Production
- Sample & Prototype Orders
- Machining Consultation
We reserve the right to modify, suspend, or discontinue any product line or service offering at any time without prior notice. Existing confirmed orders will be fulfilled under the terms agreed at the time of confirmation.
Orders, Pricing & Payment
3.1 Order Placement & Confirmation
All orders are subject to written confirmation from Precision Carbide Tools. A purchase order submitted by the Buyer does not constitute a binding contract until acknowledged and confirmed in writing by our sales team. We reserve the right to decline any order at our sole discretion.
3.2 Pricing & Quotations
All prices quoted are valid for the period specified in the quotation document. In the absence of a specified validity period, quotations are valid for 30 days from the date of issue. Prices are subject to change without notice for new orders. Quoted prices do not include customs duties, import taxes, or local levies unless explicitly stated.
3.3 Minimum Order Quantity
We operate with No Minimum Order Quantity (MOQ) for standard product lines.
This policy supports prototyping, sampling, and specialized low-volume industrial requirements. For custom OEM/ODM orders, tooling costs are waived for production runs exceeding 2,000 pieces.
3.4 Payment Terms
Payment terms are agreed upon on a per-order basis and stated in the proforma invoice or sales contract. Standard terms may include advance payment (T/T), letter of credit (L/C), or other mutually agreed arrangements. Late payments may result in order suspension and may incur applicable interest charges as permitted by applicable law.
3.5 Trade Terms & Shipping
We support EXW, FOB, and CIF trade terms. The applicable Incoterms will be specified in each confirmed order. Risk of loss or damage transfers to the Buyer in accordance with the agreed Incoterms. We maintain significant inventory of standard models to support rapid dispatch and urgent international shipments.
3.6 Order Cancellation
Standard stock orders may be cancelled prior to shipment with written notice. Custom OEM/ODM orders that have entered production cannot be cancelled without incurring applicable production and material costs. Cancellation fees will be communicated in the original order agreement.
Quality Assurance & Warranty
Precision Carbide Tools is ISO9001 certified and committed to delivering products that meet European quality standards. Our zero-risk quality guarantee is designed to reduce procurement risk and support long-term buyer confidence.
Total Replacement
If a tool breaks during standard operation and within the agreed warranty scope, we provide a full refund or complete replacement at no additional cost.
Performance Assurance
If tool life does not meet the mutually agreed performance expectations, we offer a hassle-free exchange to maintain your production reliability.
Warranty Exclusions
The warranty does not cover damage or failure resulting from:
- Improper use, misapplication, or operation outside recommended cutting parameters
- Unauthorized modification, regrinding, or alteration of the product
- Damage caused by improper storage, handling, or transportation after delivery
- Normal wear and tear consistent with expected tool life under standard operating conditions
- Use of incompatible toolholders, machine settings, or coolant systems
All warranty claims must be submitted in writing with supporting documentation including photographic evidence, machining parameters, and batch/lot identification within 30 days of the identified issue.
Intellectual Property
All intellectual property rights in and to our products, designs, technical documentation, catalogs, specifications, manufacturing processes, and proprietary tooling remain the exclusive property of Precision Carbide Tools unless otherwise agreed in writing.
When Buyers provide technical drawings, specifications, or designs for OEM/ODM production, the Buyer represents and warrants that they hold all necessary intellectual property rights to such materials and grants Precision Carbide Tools a limited, non-exclusive license to use such materials solely for the purpose of fulfilling the agreed order.
Confidentiality of Custom Designs
Custom drawings, geometries, and specifications provided by Buyers for OEM/ODM purposes are treated as confidential and will not be shared with third parties without explicit written consent.
The Buyer shall not reverse-engineer, copy, reproduce, or distribute any product, design, or technical documentation provided by Precision Carbide Tools without prior written authorization.
Limitation of Liability
To the maximum extent permitted by applicable law, Precision Carbide Tools shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use or inability to use our products or services, including but not limited to:
- Loss of production, revenue, profit, or business opportunities
- Damage to machinery, workpieces, or third-party equipment
- Delays in production schedules or delivery commitments to end customers
- Any loss arising from reliance on technical recommendations or application guidance
Our total aggregate liability for any claim arising under or in connection with a specific order shall not exceed the total value paid by the Buyer for the specific products giving rise to the claim.
Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by applicable law.
Privacy & Data Use
We collect and process business contact information, order data, and technical specifications provided by Buyers and Partners solely for the purpose of fulfilling orders, providing quotations, and maintaining business relationships.
We do not sell, rent, or share personal or business data with unaffiliated third parties for marketing purposes. Data may be shared with logistics providers, financial institutions, and regulatory bodies as required to complete transactions or comply with legal obligations.
All communications, technical drawings, and business information exchanged between the parties are treated with strict commercial confidentiality. We implement appropriate technical and organizational measures to protect data against unauthorized access or disclosure.
By engaging with us, you consent to the processing of your business contact and order data for the purposes described above. You may request access to, correction of, or deletion of your data by contacting us in writing.
Governing Law & Dispute Resolution
These Terms and any disputes arising from or in connection with them shall be governed by and construed in accordance with applicable international commercial law and the laws of the jurisdiction in which Precision Carbide Tools is incorporated, without regard to conflict of law provisions.
In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation within 30 days of written notice of the dispute. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with internationally recognized arbitration rules.
For international B2B transactions, the United Nations Convention on Contracts for the International Sale of Goods (CISG) may apply unless expressly excluded in the sales contract.
Amendments to These Terms
Precision Carbide Tools reserves the right to update or modify these Terms of Service at any time. Updated Terms will be published with a revised effective date. Continued engagement with our products or services following notification of changes constitutes acceptance of the updated Terms.
For existing confirmed orders, the Terms in effect at the time of order confirmation shall apply unless both parties agree in writing to apply updated Terms.
